Privacy in Digital Advertising: Opt-Out Rights and Contracting Requirements

Is this a sale? Sharing? Targeted Advertising? As advertisers and the rest of the digital advertising ecosystem shift in response to the regulatory landscape and industry changes brought on by big tech, advertisers in particular (and their in-house counsel) are presented with unique compliance challenges. The concepts of “sale,” “sharing,” and “targeted advertising” and their corresponding opt-out rights under the 2023 state privacy laws are often not simple to diagnose and operationalize, particularly under the CCPA (as amended by the California Privacy Rights Act, or CPRA). This is particularly true in view of the nuance that exists across use cases, as well as the implication of newer technologies such as clean rooms and other privacy preserving technology. To add complexity, whether a sale or sharing is implicated under the CCPA is directly tied, in part, to the contractual language in place with a data recipient. Even then, the language that ends up in a contract often depends on a number of factors, including bargaining power between the parties and the parties’ disparate understanding of privacy requirements relative to the use case. Advertisers sometimes have little visibility or control of the language that agencies enter into on their behalf.
